Client Services Agreement

1.Scope of Services

Investigator agrees to perform private investigative services as specifically described in the written case summary provided at the time of engagement ("Services"). Services may include, but are not limited to: surveillance, background investigations, skip tracing, fraud investigations, infidelity investigations, and asset searches. Any expansion of the scope of Services beyond the original case summary requires written authorization from the Client and may result in additional fees.

2.Fees and Retainer

Client agrees to pay Investigator at the rate of $75.00 per hour, all-inclusive. A minimum retainer of four (4) hours ($300.00) is required prior to commencement of any Services. The retainer will be applied against billable hours. If the investigation requires additional hours beyond the retainer, Client will be notified and must authorize additional funds before work continues. Unused retainer funds will be refunded to the Client upon conclusion of the case, less any outstanding balance.

3.Payment Terms

Payment of the retainer is due in full before Services begin. Accepted forms of payment include cash, check, money order, and electronic transfer. Returned checks are subject to a $35.00 returned check fee. Invoices for additional authorized hours are due within seven (7) days of issuance. Accounts past due by more than fourteen (14) days may result in suspension of Services until the balance is paid in full.

4.Legal Compliance

All investigative Services will be conducted in strict compliance with the Illinois Private Detective, Private Alarm, Private Security, Fingerprint Vendor, and Locksmith Act of 2004 (225 ILCS 447), all applicable federal and state laws, and the rules and regulations of the Illinois Department of Financial and Professional Regulation (IDFPR). Investigator will not engage in any activity that constitutes trespassing, unauthorized interception of communications, illegal access to private records, or any other unlawful conduct. Evidence gathered through unlawful means will not be provided to Client.

5.Confidentiality

Investigator agrees to keep all information provided by Client, as well as all findings, reports, photographs, video recordings, and other work product, strictly confidential. Information will not be disclosed to any third party without the prior written consent of the Client, except as required by law, court order, or subpoena. Client likewise agrees to keep the existence and details of this engagement confidential and to use any evidence or reports provided solely for lawful purposes.

6.Deliverables and Reports

Upon conclusion of the investigation, Investigator will provide Client with a written report summarizing the findings. The report may include photographs, video recordings, and other documentation as applicable. All deliverables are the property of the Client upon full payment of all fees owed. Investigator retains the right to maintain copies of all work product for record-keeping purposes. Reports will be delivered via secure electronic transmission or in person, as agreed upon by both parties.

7.No Guarantee of Results

Investigator makes no guarantee, express or implied, regarding the outcome of any investigation. The nature of investigative work is inherently uncertain, and results depend on factors outside the Investigator's control. Client acknowledges that payment of fees is for the Investigator's time, skill, and effort — not for any specific outcome or result. Investigator will make all reasonable efforts to fulfill the scope of Services as described.

8.Client Responsibilities

Client agrees to provide accurate, complete, and truthful information to the Investigator. Client warrants that the purpose of the investigation is lawful and that Client has a legitimate legal interest in the subject matter. Client agrees not to use any information, evidence, or reports provided by Investigator for any unlawful purpose, including harassment, stalking, or any activity that violates federal, state, or local law. Client assumes full responsibility for the lawful use of all information provided.

9.Limitation of Liability

Investigator's liability to Client for any claim arising out of or related to this Agreement shall not exceed the total fees paid by Client under this Agreement. In no event shall Investigator be liable for any indirect, incidental, consequential, or punitive damages. Investigator shall not be liable for any failure to perform Services resulting from circumstances beyond Investigator's reasonable control, including but not limited to subject evasion, adverse weather, or third-party interference.

10.Termination

Either party may terminate this Agreement upon written notice to the other party. Upon termination by Client, Investigator will cease all Services and provide a final accounting of hours worked. Any unused retainer funds will be refunded within seven (7) business days, less any outstanding balance for hours worked and expenses incurred. Upon termination by Investigator, Client will receive a refund of any unused retainer funds within seven (7) business days.

11.Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois. Any dispute arising out of or related to this Agreement that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration in Cook County, Illinois, in accordance with the rules of the American Arbitration Association. The prevailing party in any arbitration or legal proceeding shall be entitled to recover reasonable attorney's fees and costs.

12.Entire Agreement

This Agreement, together with any written case summary or addendum signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, warranties, and understandings. This Agreement may not be modified except by a written instrument signed by both parties. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
